Privacy Policy
1. INTRODUCTION.
This Privacy Policy (the “Policy”) explains how SoundSeed, Inc. (“SoundSeed”, “we”, “our”) collects, uses, and discloses personal information through its online musical artist funding platform (the “Platform”), its website (the “Site”), its mobile application (the “App”, and collectively with the Platform and Site, the “Services”). By using or accessing the Services in any manner, you acknowledge that you accept the practices and policies outlined in this Policy, and you hereby consent that we will collect, use, and share your personal information in the following ways. Any capitalized terms that are not defined in this Policy are defined in our Terms of Service.
2. INFORMATION COLLECTED AND HOW WE USE IT.
As explained further in this section, you will have the opportunity to provide us with certain personal information. In addition, we may collect certain personal information automatically through your use of the Services. We will use this information to provide you with the functionality of our Services, to improve our Services, and to provide you with information about our Services. The rest of this section provides a more detailed explanation of the personal information we collect and how we use that personal information.
2.1. Voluntarily Disclosed Information. We collect personal information from fans to support account creation and platform operations, including name, age, gender, email address, and geolocation. This information is collected directly from the user. For artists, we collect the name of the artist, names of individuals within the artist group (if applicable), and the name of their manager (if applicable), either directly from the artist or their manager. When users purchase or sell Artist Passes or other goods and services on the platform, banking and/or credit card information (as selected by the user) is collected directly by third-party payment providers. This payment information is not shared with SoundSeed.
2.2. Marketing Recipients. If you are interested in learning more about our Services, you may subscribe to promotional emails from us via our Site. If you are not otherwise a user of our Platform, we will only use your personal information to send marketing communications relating to products and services that we offer.
2.3. Automatically Collected Information.
2.3.1. Browser & Device Information. Whenever you interact with the Services, we automatically receive and record information on our server logs from your browser or device, which may include your IP address, geolocation data, device identification, “cookie” and pixel tag information, the type of device you’re using to access the Services, the amount of time spent on the Services, and the page or feature you requested. “Cookies” are identifiers we transfer to your browser or device that allow us to recognize your browser or device and tell us how and when pages and features in the Services are visited and by how many people. “Pixel tags” are tiny graphic images with a unique identifier, similar in function to cookies, that are used to track online movements of web users. In contrast to cookies, which are stored on a computer hard drive, pixel tags are embedded invisibly in web pages. You may be able to change the preferences on your browser or device to prevent or limit your device’s acceptance of cookies and pixel tags, but this may prevent you from taking advantage of some of our features. We use the data we automatically collect from you to customize content for you that we think you might like, based on your usage patterns. We may also use it to improve the Services – for example, this data can tell us how often users use a particular feature of the Services, and we can use that knowledge to make the Services interesting to as many users as possible.
2.3.2. Emails. We may receive a confirmation when you open an email from us.
3. DISCLOSURE OF INFORMATION.
We may disclose your personal information to the categories of third parties identified in this section.
3.1. Personnel and Third Party Service Providers. We employ personnel and engage other companies and people to perform tasks on our behalf and need to share your personal information with them to provide products or services to you. For example, we use a third party payment processor to process payments on our behalf. As another example, as noted in our Terms of Service, some or all of the money associated with your account on the Platform may temporarily be stored as USDC with Magic. In furtherance of that storage, we will let Magic know your name.
3.2. Other Users. Please note that if you submit any personal information or User Content to a portion of the Platform that is accessible by other users (for example, if you are an Artist and post User Content that includes your personal information), those users will be able to see that personal information and User Content. Accordingly, only include personal information in such submissions that you are comfortable sharing with other users.
3.3. Artist Integrations. Artists may use third party applications (the “Third Party Apps”) within the Platform (such as Ticketmaster and Shopify), and the providers of those Third Party Apps (the “Third Party Providers”) may collect certain information directly from you if you initiate a transaction (like purchasing a concert ticket) through the Platform. In those situations, you will be routed to the platform of the Third Party Provider in order to complete the transaction. Any Third Party Provider’s use of your personal information and User Content is subject to the applicable agreement between you and the Third Party Provider. SoundSeed is not responsible for any access to or use of your personal information or User Content by Third Party Providers. You are solely responsible for the decision to permit any Third Party Provider to use your personal information or User Content.
3.4. Analytics Services. We use Google Analytics to understand how visitors engage with our Services. You can learn more about the information that Google has access to at the following website: https://policies.google.com/technologies/partner-sites.
3.5. Anonymous Information. We may de-identify your personal information so that you are not identified as an individual, and share that information with third parties. We may also provide aggregate usage information to third parties (or allow these third parties to collect aggregate information of activity on our Services), who may use that information to understand how often and in what ways people use our Services, so that they, too, can provide our users with an optimal online experience.
3.6. Business Transfers. If we (or our assets) are acquired, or if we go out of business, enter bankruptcy, or go through some other change of control, personal information could be one of the assets transferred to or acquired by a third party.
3.7. Legal Compliance. We reserve the right to access, read, preserve, and disclose any information that we believe is necessary to comply with governmental requests, law enforcement or court orders, or enforce or apply our Terms of Service and other agreements.
4. SECURITY.
We use commercially reasonable physical, managerial, and technical safeguards to preserve the integrity and security of your personal information. In addition, we enter into contracts with all of our third party service providers that require reasonable precautions be taken against unauthorized uses of your personal information. We cannot, however, ensure or warrant that these precautions will always be successful or that your personal information on the Services may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards.
5. MODIFICATION, DELETION & RETENTION OF INFORMATION.
Through your account settings, you may access, edit and delete your personal information. Please understand, however, that it may be impossible to delete this information completely, due to backups and records of deletions. In addition, we may deny a deletion request if (i) the denial is necessary for us to comply with applicable law, or (ii) the request pertains to content that you posted on a publicly available portion of the Services and that cannot be deleted without impacting the Services experience for other users. You may not request the removal of de-identified, anonymous, or aggregate data from our databases.

Subject to your right to request deletion of your personal information, we will retain your personal information as long as needed for your use of the Services, your approved receipt of marketing communications from us, our compliance with legal obligations, and to protect our or other’s interests.
6. HOW WE RESPOND TO DO NOT TRACK SIGNALS.
We do not track you or collect your information across third party websites or online services. Thus, we do not receive Do-Not-Track signals, or other similar signals. To the extent that we do receive any such signals, we will not comply with them as it is not an aspect of the functionality of the Services.
7. AGE OF USERS.
Children under the age of 13 are not permitted to use, access or register for the Services in any way. We do not knowingly collect or solicit information from anyone under the age of 13. If we learn that we have collected personal information from a child under the age of 13, we will delete that information as quickly as possible.
8. CHANGES TO POLICY.
We’re constantly trying to improve the Services, so we may need to change this Policy from time to time as well. The date of the last modification will be posted at the beginning of this Policy. It is your responsibility to check from time to time for updates. By continuing to access or use the Services, you are indicating that you agree to be bound by the modified Policy.
